MBABANE – Registrar of Companies Msebe Malinga says the Draft Company Registration Bill of 2023 is meant to make it easy for people to register companies in the country.
Malinga said this in response to the call by His Majesty King Mswati III for Government to make it easy for people to do business in the country by implementing digital solutions. The King made that call when he delivered his speech, marking the opening of the First Session of the 12th Parliament. Speaking to Eswatini TV, Malinga said the Bill introduced the electronic company registration service.
Malinga said this service was different in that it would allow people to register and give information electronically. According to the Registrar, the Bill sought to force his office to make the electronic registration a reality. They did not want to make it as just a way of improvement, but they wanted the legislation to remind them of the legal obligation they had to make the improvement happen.
The Registrar said with the help of the Bill, they would also introduce the universal company as another type of companies that could be registered in the country. Currently, Malinga said there were two types of companies that could be registered. They included a public as well as the private company. He believed the introduction of the universal company was going to make it easier for people to do business in the country.
He also shared that they would introduce what he termed as the company constitution, as opposed to articles of association. He said the articles of association were the difficult aspect of company registration because the articles of association were difficult to interpret.
